LLP vs Private Limited Company: Which Should You Choose?

A side-by-side comparison of the two most popular limited-liability structures in India

The Short Answer

Choose a private limited company if you plan to raise investment, offer ESOPs, or want the structure that banks, large clients and investors are most familiar with. Choose an LLP if you are a professional firm, consultancy or family business that wants limited liability with lighter compliance and no plans to raise equity.

Frequently Asked Questions

Is an LLP cheaper to run than a private limited company?

Usually yes. An LLP files two annual forms and needs an audit only if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh, while every private limited company must have its accounts audited and hold board meetings and an AGM. For a small business the annual compliance cost of an LLP is noticeably lower.

Can an LLP raise money from investors?

Not equity funding in the usual sense. An LLP has no shares, so it cannot issue equity to angel or venture investors or run an ESOP plan. Investors can join as partners, but most will insist on a private limited company.

Which pays less tax, an LLP or a company?

An LLP is taxed at 30% plus surcharge and cess, and profits distributed to partners are not taxed again. A domestic company can opt for the 22% rate under Section 115BAA, but dividends are then taxed in shareholders' hands. Which works out lower depends on profits and how you take money out; we model both for you.

Can I convert an LLP into a private limited company later?

Yes, an LLP can be converted into a company under the Companies Act, and a company can be converted into an LLP. Conversion takes time and paperwork, so it is better to choose the right structure at the start if you already know you will raise funding.

Which is better for a professional firm?

For CAs, architects, consultants and similar firms that will not raise outside equity, an LLP is usually the better choice: limited liability, flexible profit sharing between partners and lighter compliance.
