How the ROC Late Fee Works
Every company and LLP must file its annual returns with the Registrar of Companies by fixed due dates. If a form is filed late, the MCA portal automatically adds an additional fee of ₹100 for every day of delay, for each form, on top of the normal filing fee. There is no upper limit.
| Delay | One form | Two forms (e.g. AOC-4 and MGT-7) |
|---|---|---|
| 30 days | ₹3,000 | ₹6,000 |
| 6 months | about ₹18,000 | about ₹36,000 |
| 1 year | ₹36,500 | ₹73,000 |
| 3 years | about ₹1.1 lakh | about ₹2.2 lakh |
These figures cover the additional fee only. Penalties for the default itself can also be imposed on the company and its officers.
Director Disqualification
The bigger risk is disqualification. If a company does not file its financial statements or annual returns for three consecutive financial years, its directors are disqualified for five years. A disqualified director cannot be appointed to any company, and their DIN is deactivated, which can affect other companies they are involved in.
Key Due Dates
- Companies: AGM by 30 September, AOC-4 within 30 days of the AGM, MGT-7 or MGT-7A within 60 days of the AGM, DPT-3 by 30 June
- LLPs: Form 11 by 30 May, Form 8 by 30 October
The full calendar is on our ROC annual filing page.
How to Fix Missed Filings
- Review: we check your MCA records to see exactly which forms and years are pending.
- Accounts: pending financial statements are prepared and audited for each year.
- Meetings: board meetings and AGMs for those years are documented.
- Filing: all pending forms are filed, oldest first, with the applicable additional fees.
- Ongoing: a compliance calendar so it does not happen again.
If the company is no longer needed, closing it properly may cost less than keeping it alive. We will compare both options for you.

Frequently Asked Questions
How much is the late fee for ROC filing?
An additional fee of ₹100 per day is charged for each form filed after its due date, with no upper limit. For a company late with both AOC-4 and MGT-7, that is ₹200 a day, or about ₹73,000 for a year.
Can the ROC late fee be waived?
Late fees cannot normally be waived. The MCA occasionally announces condonation or amnesty schemes that reduce additional fees for a limited period, so it is worth checking for one, but waiting for a scheme while fees grow is rarely a good strategy.
When are directors disqualified?
If a company fails to file financial statements or annual returns for three consecutive financial years, every person who is a director of that company is disqualified from being appointed a director of any company for five years.
What happens if an LLP misses Form 8 or Form 11?
LLPs pay an additional fee of ₹100 per day for each form filed late, with no upper limit, and the LLP and its designated partners can be penalised for the default.
Our company has been inactive for years. What should we do?
Either file all pending returns and continue, apply for dormant status if you intend to keep the company for future use, or close it by applying to strike off its name once pending filings are made. We work out which option is cheapest for you.
