LLP Registration in Mumbai

Name approval, DSCs, incorporation and LLP agreement, filed end to end by company secretaries

Register a Limited Liability Partnership in Mumbai

An LLP gives partners the flexibility of a partnership with the protection of limited liability. That combination is why it is the default structure for Mumbai's CA, legal, architecture and consulting firms, trading partnerships and family businesses.

CompanyFX registers LLPs for clients across Mumbai, Thane and Navi Mumbai entirely online. You share documents over email or WhatsApp, and the certificate of incorporation is issued by the Ministry of Corporate Affairs (MCA) in the LLP's name.

LLP Registration Fees in Mumbai

The cost of registering an LLP in Mumbai is made up of three parts:

  • MCA government fees: a fee for name reservation, and an incorporation filing fee that rises with the total capital contribution of the partners.
  • Maharashtra stamp duty on the LLP agreement: payable under the Maharashtra Stamp Act and linked to capital contribution, so a lower starting contribution keeps it small.
  • Professional fees: digital signatures (DSCs) for the designated partners, drafting the LLP agreement, and preparing and filing every form.

There is no minimum capital for an LLP. Most small Mumbai LLPs start with a modest contribution and increase it later, which keeps both the MCA fee and stamp duty low. Ask us for an exact quote based on your capital and number of partners.

Who Can Register an LLP?

  • At least two partners, any of whom can be individuals or companies
  • At least two designated partners who are individuals, one of them resident in India
  • A registered office address in Mumbai; a residential flat is acceptable
  • No minimum capital and no maximum number of partners

Documents Required for LLP Registration in Mumbai

  • PAN card of every partner (passport for foreign nationals)
  • Aadhaar, passport, voter ID or driving licence as identity and address proof
  • A bank statement or utility bill of each partner, not older than two months
  • Passport-size photograph of each partner
  • For the registered office: an electricity, gas or phone bill, plus the owner's NOC and the rent agreement if rented
  • Proposed LLP names, business activity and capital contribution of each partner

LLP Registration Process

  1. Digital signatures: we obtain DSCs for the designated partners.
  2. Name reservation: we check availability and trademark conflicts, then reserve the name on the MCA portal.
  3. Incorporation (FiLLiP): we file the incorporation form with partner details, registered office and capital. DPIN for new designated partners is allotted in the same filing.
  4. Certificate of Incorporation: MCA issues the certificate with the LLPIN, along with the LLP's PAN and TAN.
  5. LLP agreement: we draft the agreement covering profit sharing, capital, roles and exit, get it stamped under Maharashtra law, and file it with the ROC within 30 days.

Typical timeline: 7 to 15 working days to incorporation, depending on name approval and MCA processing.

After Registration: Maharashtra-Specific Steps

  • Professional tax: Maharashtra requires PTEC enrolment for the LLP and PTRC registration once you employ staff.
  • Shop and Establishment: premises in Mumbai need registration or intimation under the Maharashtra Shops and Establishments Act, 2017.
  • GST: required once turnover crosses the threshold or if you supply inter-state. Maharashtra GSTINs start with state code 27.
  • Bank account: current account opening using the incorporation certificate, PAN and LLP agreement.

Annual Compliance for an LLP

  • Form 11 (annual return) by 30 May every year
  • Form 8 (statement of accounts and solvency) by 30 October every year
  • Income tax return, with a tax audit where applicable
  • Statutory audit only if turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh

Missing an LLP filing attracts a late fee for every day of delay, so many clients hand annual compliance to us along with registration.

Frequently Asked Questions

What are the LLP registration fees in Mumbai?

Total cost has three parts: MCA government fees (name reservation plus the incorporation filing fee, which rises with the partners' capital contribution), Maharashtra stamp duty on the LLP agreement (also linked to capital contribution), and professional fees for DSCs, drafting and filing. For a small LLP with modest capital, government fees and stamp duty usually add up to a few thousand rupees. Call us for an exact quote based on your capital.

How long does LLP registration take in Mumbai?

If the name is approved on the first attempt and documents are in order, an LLP is usually incorporated in 7 to 15 working days. The LLP agreement must then be filed with the ROC within 30 days of incorporation.

How many partners are needed to register an LLP?

At least two partners, with at least two designated partners who are individuals. At least one designated partner must be resident in India. There is no upper limit on the number of partners.

Is there a minimum capital requirement for an LLP?

No. An LLP can be registered with any capital contribution agreed by the partners. Keeping contribution modest at the start also keeps the MCA fee and Maharashtra stamp duty low, and it can be increased later.

Can I use my home in Mumbai as the LLP's registered office?

Yes. A residential flat can be the registered office if you provide a recent utility bill and a no-objection certificate from the owner. If the flat is rented, a copy of the rent agreement is also needed.

What registrations does a Mumbai LLP need after incorporation?

Most LLPs open a current account and register for GST if their turnover crosses the threshold or they sell inter-state. Under Maharashtra law, they also need professional tax enrolment (PTEC), PT registration (PTRC) once they hire staff, and Shop and Establishment registration or intimation for their premises.

What are the annual compliances for an LLP?

Every LLP files Form 11 (annual return) by 30 May and Form 8 (statement of accounts and solvency) by 30 October, plus its income tax return. An audit is needed only if turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh.

LLP or private limited company: which is better for a Mumbai business?

An LLP suits professional firms, consultancies, family businesses and partners who want limited liability with lighter compliance. A private limited company is better if you plan to raise equity from investors, issue ESOPs or eventually list, because LLPs cannot issue shares.
